Terms and conditions
Sale of ASIC miners and hosting in the United Arab Emirates.

01Parties, identification and acceptance
These Terms and Conditions govern the contracting, payments, operation, rights, obligations, risks and limitations that apply to the sale of ASIC miners and to the hosting services offered by Andes SolarHash SpA, hereinafter “Andes SolarHash” or “the Company”.

The buyer or contracting party, hereinafter the “Client”, accepts these Terms and Conditions by contracting a service, paying an order, signing a proposal, accepting a quote electronically, sending wallet details, receiving reports or maintaining a commercial relationship with Andes SolarHash.
02Purpose and scope
This document sets out the general conditions for the sale of professional ASIC miners and for contracting or coordinating their operational hosting — power, cooling, connectivity, monitoring and maintenance — in specialised infrastructure, mainly in the United Arab Emirates.
The particular conditions of each order, contract, quote, annex, invoice, data sheet or commercial proposal prevail over these Terms and Conditions in the event of a specific contradiction, provided they are in writing and have been accepted by the parties.
03Definitions
- ASIC. Specialised machine for cryptocurrency mining, designed to run a specific algorithm, such as SHA-256 for Bitcoin.
- BTC or Bitcoin. Native cryptocurrency of the Bitcoin network, generated by mining and by the transaction fees of mined blocks.
- Client. Natural or legal person who buys machines or contracts services from Andes SolarHash.
- UAE. United Arab Emirates, the country where the infrastructure or the hosting provider is located.
- Hashrate. Computing capacity applied to mining, measured in hashes per second. This document mainly uses TH/s: one trillion hashes per second.
- Hosting. Operational housing of ASIC miners, which may include physical space, power, cooling, connectivity, monitoring, security and basic technical maintenance.
- Mining pool. Group of miners who combine computing power and distribute rewards according to the pool's rules and fees.
- BTC output. Amount of BTC generated by the Client's machine according to its performance, the pool, network difficulty, availability, fees and the conditions of the contract.
- Target uptime. Operational availability goal of the infrastructure. It is not an absolute guarantee nor permanent availability.
- Wallet. Digital wallet indicated by the Client to receive BTC, under the Client's sole responsibility for custody and private keys.
04Legal nature
Andes SolarHash sells ASIC hardware and provides or coordinates technological and operational services of specialised hosting.
The sale of machines with hosting involves the transfer of ownership of specific hardware, according to the conditions of purchase, payment, delivery, invoice, serial number, contract and applicable hosting arrangement.
The operation does not constitute a partnership, investment mandate, fund, deposit, financial instrument, public offering of securities, fixed income, investment advice, portfolio management or promise of profitability.
05Sale of ASIC miners and hosting
- The Client acquires an ASIC miner according to the model, price, availability, serial number and conditions indicated in the quote, invoice or contract.
- The machine may be housed in specialised infrastructure, under hosting conditions that include power, cooling, connectivity, monitoring, security and basic technical maintenance, according to the corresponding contract.
- Andes SolarHash may coordinate access to the hosting provider, manage the contractual operation and deliver output reports, without this implying any promise of profitability or minimum output.
- The Client chooses their mining pool and can monitor output live from the pool's application (f2pool, ViaBTC, among others). Rewards go directly from the pool to the Client.
- The Client may also buy the machine without hosting, to receive it at the place set in the quote.
The transfer of ownership of the machine is deemed complete only under the terms defined by the quote, invoice, contract, full payment, delivery of documents, identification of the machine and other applicable conditions.
06Activation and operation
Activation of the service is subject to payment received, administrative validation, identity verification where applicable, operational availability, allocation of the machine, configuration of pool and wallet, and the other technical conditions needed to start operating.
Andes SolarHash may adjust the infrastructure, configuration, hosting provider or operating mechanisms when necessary for technical, regulatory, energy, security, maintenance or business-continuity reasons, always seeking to protect the continuity and traceability of the service. The replacement or relocation of a machine owned by the Client is governed by the particular contract.
The operation may be affected by technical failures, maintenance, power or connectivity interruptions, provider failures, network events, difficulty variations, protocol adjustments, weather conditions, regulatory restrictions or force majeure.
07BTC output and pool
BTC output is neither fixed nor guaranteed. It depends on the real conditions of the network and the operation: difficulty, global hashrate, pool performance and fees, effective availability, maintenance, condition of the machines and conditions of the infrastructure provider.
The pool chosen by the Client charges fees and sets its own payout rules, minimum amounts and frequency. Those conditions belong to the pool and do not depend on Andes SolarHash.
The Client is responsible for providing a wallet that is correct, compatible and under their control. Transfers sent to wrong or incompatible addresses, or to addresses controlled by third parties, are the sole responsibility of the Client if the information was provided by the Client.
Any example of output expressed in satoshis, BTC, USD or CLP is referential and historical. It is not a projection nor a commitment of future output.
08Availability and maintenance
The service considers a target operational availability (uptime) of 95% per year, subject to technical, energy, contractual, maintenance, provider, connectivity and effective operating conditions. This target is not an absolute guarantee of permanent availability nor automatic compensation, unless the particular contract expressly establishes it.
Andes SolarHash or its providers may carry out preventive or corrective maintenance, updates, configuration adjustments, safety pauses or operational interventions that temporarily affect output or availability.
Hardware failures, wear, obsolescence, network events, electrical or cooling conditions, force majeure and provider restrictions may affect the service without this constituting an automatic breach by Andes SolarHash.
09Prices, payments, taxes and invoicing
The prices of machines, hosting and other commercial conditions are those indicated in the quote, purchase order, invoice, contract or annex in force at the time of contracting. Prices published on the website are referential: the binding price is that of the quote issued.
Payments may be made by the means that Andes SolarHash enables: bank transfer, USD, CLP, cryptocurrencies, stablecoins or others, subject to confirmation, fees, processing times, exchange rate and internal validation.
Tax documents are issued according to applicable Chilean regulations and to the nature of the Client, their domicile, the service contracted, the currency and the means of payment. The Client must provide complete, accurate and up-to-date tax information.
The Client is responsible for their local tax obligations arising from the purchase, from receiving BTC and from holding, selling, exchanging or accounting for it, according to their jurisdiction.
10Client identification and source of funds
Andes SolarHash may request identification, source of funds, beneficial owner, address, economic activity and corporate documents, in order to meet its standards for the prevention of money laundering, terrorist financing, fraud and international sanctions.
Andes SolarHash may reject, suspend or terminate an operation when the Client does not provide sufficient information, provides false data, appears on sanctions lists, operates from prohibited jurisdictions or there is reasonable suspicion of illegal activity.
The Client declares that the funds used come from lawful activities.
11Obligations of the Client
- To pay in full the amounts, taxes, charges and fees agreed in the quote or contract.
- To provide complete, truthful and up-to-date information for invoicing, identification, wallet, contact and operation.
- To keep, under their sole responsibility, custody of their wallets, private keys, access credentials and devices.
- To understand that Bitcoin mining is a variable and technical activity, with no assured minimum output.
- To comply with their tax, accounting, regulatory and legal obligations in their jurisdiction.
- Not to use the services for unlawful, deceptive or unauthorised purposes.
- To give timely notice of changes to wallet, contact details or tax details.
12Obligations of Andes SolarHash
- To sell the machine and to provide or coordinate the contracted services, according to the conditions accepted by the Client.
- To manage the operation associated with the service, directly or through specialised providers.
- To issue the corresponding commercial and tax documents.
- To maintain reasonable support and communication channels.
- To report relevant operating conditions, substantial changes, maintenance and events that significantly affect the service, where reasonably possible.
Andes SolarHash assumes no obligation regarding economic results, BTC price, profitability, recovery of the investment, minimum output, future value of the machines, indefinite continuity of providers or stability of network difficulty.
13Wallets, security and custody
The Client is responsible for verifying that the wallet indicated is compatible, correct, secure and controlled by them.
Andes SolarHash is not liable for losses arising from compromised private keys, misconfigured wallets, wrong addresses, attacks on the Client's device, phishing, malware, impersonation, loss of access or the use of third-party custody services.
In the event of a security incident affecting its infrastructure, Andes SolarHash will activate reasonable measures of mitigation, investigation and communication.
14Risks acknowledged by the Client
- Volatility of the price of Bitcoin and other cryptocurrencies.
- Increase in network difficulty and variation in global hashrate.
- Halving, reduction of the block subsidy and variation in transaction fees.
- Failure, obsolescence, wear or lower efficiency of ASIC miners.
- Interruptions of power, internet, cooling, pool, hosting or provider.
- Regulatory, tax, customs, banking or compliance changes.
- Force majeure, conflicts, restrictions, sanctions, logistics failures or weather conditions.
- Pool, network, transfer or withdrawal fees.
- Wallet errors, loss of private keys, hacks, phishing or negligence by the Client.
15Limitation of liability
Except for wilful misconduct or gross negligence declared by a court, Andes SolarHash is not liable for indirect losses, loss of profit, loss of opportunity, loss of BTC value, Client wallet errors, market variations, network difficulty, regulatory changes, third-party failures, provider interruptions or force majeure.
The maximum liability of Andes SolarHash for events related to a specific service does not exceed the amount actually paid by the Client for that service, unless applicable law provides otherwise.
Nothing above limits the non-waivable rights the Client may have under applicable law.
16Intellectual property and brand
The Andes SolarHash brand, website, designs, documents, reports, texts, graphics and commercial materials belong to Andes SolarHash or its licensors. Their unauthorised reproduction, modification, distribution or use is prohibited.
The Client may not use the Andes SolarHash brand to promote products, attract clients or offer services without express written authorisation.
17Personal data
Andes SolarHash may process personal, commercial, tax and contact data for contracting, service provision, support, invoicing, compliance, fraud prevention and legal obligations.
Processing is subject to applicable Chilean regulations. Certain data may be processed by technology, banking, accounting, legal or operational providers needed to deliver the service.
18Amendments
Andes SolarHash may amend these Terms and Conditions for commercial, technical, operational, regulatory, tax or security reasons.
Substantial amendments are communicated by reasonable means: website, email, contractual annex or direct communication. Conditions already contracted are governed by the contract in force at the time of contracting, unless the change is required by law, security, operational continuity or force majeure.
19Suspension and termination
Andes SolarHash may suspend, restrict or terminate services in the event of non-payment, false data, lack of identification, unlawful use, fraud, instructions from an authority, force majeure, operational impossibility, unavailability of the provider or breach of these Terms and Conditions.
Early termination, refund, withdrawal of the machine, migration or continuity are governed by the particular contract and the applicable operating conditions.
20Force majeure and third-party providers
Andes SolarHash operates through international providers of infrastructure, hosting, power, connectivity, logistics and technology. The Client acknowledges that part of the service depends on third parties and on conditions outside the exclusive control of Andes SolarHash.
Force majeure events include, among others, massive network failures, power cuts, government restrictions, conflicts, sanctions, cyberattacks, natural disasters, provider or pool failures, logistics problems and regulatory changes.
21Governing law and disputes
These Terms and Conditions are governed by the laws of the Republic of Chile, without prejudice to mandatory rules that may apply to the Client according to their jurisdiction.
The parties will seek to resolve any difference through direct negotiation in good faith. If no solution is reached, disputes are submitted to the competent courts of Santiago, Chile, unless the parties expressly agree on arbitration or a different jurisdiction in the particular contract.

23Final clauses
Contracting a service, paying an order, electronic acceptance or signing a contract imply acceptance of these Terms and Conditions, together with the commercial proposal, contract, invoice, annexes and risk notice.
If any clause is declared invalid, illegal or unenforceable, the remaining clauses stay in full force.
In the event of conflict between these Terms and Conditions and a particular contract signed by the parties, the particular contract prevails with respect to the specific matter it regulates.
